Terms and Conditions for ERP System Registration

These Terms and Conditions govern the registration, access, and use of the Mbira ERP provided by HavenPlus Technologies Ltd.

By registering for and using the ERP system, the client agrees to comply with the following terms and conditions.

1. Definitions

• Company refers to HavenPlus Technologies Ltd.

• Client/User refers to the individual, business, or organization registering for and using the ERP system.

• System refers to the ERP software platform, modules, services, and related infrastructure provided by the Company.

2. Registration and Account Responsibility

1. The Client must provide accurate and complete registration information.

2. The Client is responsible for maintaining the confidentiality of login credentials.

3. The Client shall be fully responsible for all activities conducted under their account.

4. Sharing user accounts without authorization from the Company is prohibited.

3. System Usage

1. The ERP system shall only be used for lawful business purposes.

2. The Client agrees not to:

   • Attempt unauthorized access to the system or servers.

   • Interfere with system security or performance.

   • Upload malicious software, viruses, or harmful content.

   • Use the system in violation of applicable laws and regulations.

3. The Company reserves the right to suspend accounts involved in suspicious or abusive activities.

4. Subscription and Payments

1. Access to certain ERP modules or services may require subscription payments.

2. Fees shall be payable according to the agreed quotation, invoice, or subscription plan.

3. Failure to make payments within the agreed period may result in:

   • Suspension of services,

   • Restricted access,

   • Termination of the account.

4. All payments made are non-refundable unless otherwise agreed in writing.

5. Data Ownership and Privacy

1. The Client retains ownership of business data entered into the system.

2. The Company shall take reasonable measures to protect client data and maintain system security.

3. The Company may perform scheduled backups for operational and recovery purposes.

4. The Client is responsible for verifying the accuracy of data entered into the system.

5. The Company shall not be liable for losses resulting from incorrect data entry by the Client.

6. System Availability and Maintenance

1. The Company aims to provide reliable and continuous system availability.

2. Scheduled maintenance may occasionally require temporary downtime.

3. The Company reserves the right to modify, upgrade, or discontinue certain features where necessary.

7. Technical Support

1. Technical support shall be provided during official working hours unless otherwise agreed.

2. Support coverage depends on the subscribed service package or maintenance agreement.

3. Additional customization or training services may attract extra charges.

8. Intellectual Property

1. The ERP system, software, branding, modules, and related materials remain the intellectual property of the Company.

2. The Client shall not:

   • Copy,

   • Resell,

   • Reverse engineer,

   • Modify,

   • Redistribute the system without written authorization.

9. Limitation of Liability

1. The Company shall not be held liable for:

   • Indirect or consequential losses,

   • Loss of profits,

   • Business interruption,

   • Data loss caused by external factors beyond reasonable control.

2. The Client is encouraged to maintain independent backups of critical business records.

10. Account Suspension or Termination

The Company reserves the right to suspend or terminate access where:

• The Client violates these Terms and Conditions,

• Payments remain outstanding,

• The system is used unlawfully or abusively.

11. Amendments

The Company may update these Terms and Conditions from time to time. Continued use of the system after updates constitutes acceptance of the revised terms.

12. Governing Law

These Terms and Conditions shall be governed and interpreted in accordance with the laws of Malawi.
